Agency and Distribution

For those selling goods or services, the use of third-party channels may be the way to grow the business. In such circumstances should you appoint Agents or Distributors? What are the key differences between the two, and what is best for your business? We offer substantial experience in agency and distribution and can help you make the right decisions for your own particular needs.

Buying and Selling

Day to day business can throw up a variety of issues. You will want to make sure, for example, that any standard Contracts you may use in your business are up to date and take account of changes in the law. For instance, commercial contract regulations now allow you as a matter of law to charge interest on unpaid debts after thirty days. You might wish to include a clause to this effect in your standard terms and conditions of sale. You will find us proactive, by informing you about new legislation or cases that may impact on this area.

Confidentiality Agreements

You may need a Non-Disclosure Agreement if there is a need to share sensitive information with a potential partner.

Franchise Arrangements

Many of the world's biggest brands, in the retail and "fast food" businesses, for example, are run on a franchise basis. A number of these are actively looking at moving into Ireland. We have acted for both the franchisors and franchisees and understand the issues involved. We can help you build a successful franchise relationship, whichever side of it you are sitting on.

Use of Consultants

From time to time you may engage Consultants. We can help you put together the right Contract to ensure you get the best out of the relationship, by defining clear deliverables and time schedules.

Buying and Selling a Business

Over the years, we have acted for a substantial number of businesses both in acquisitions and disposals. We have a wide range of expertise in this area and will be able to assist you whether you wish to acquire a new business, dispose of your own business, or perhaps retire.
